Terms of Service

The agreement between you and Mydeas. It is short on purpose: you own your notes, we run the service, and neither of us gets to surprise the other.

Acceptance

These Terms of Service (“Terms”) are an agreement between you and the operator of Mydeas (“Mydeas”, “we”, “us”), based in Wisconsin, United States. They cover the Mydeas web app, the iOS and Android apps, the API, and everything else at mydeasapp.com (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which explains what we collect and why. If you do not agree, do not use the Service.

Eligibility

You must be at least 16 years old, or the age of digital consent where you live if that is higher, to use Mydeas. The Service is not directed at children under 13. If you are using Mydeas on behalf of a company or another organization, you confirm that you have authority to bind it to these Terms, and “you” includes that organization.

Your account

  • You can sign up with an email address and password, or with Google or Apple. You are responsible for keeping your credentials and devices secure and for everything that happens under your account.
  • Give us an email address you actually control; it is how we reach you about your account and how we verify requests that cannot be made from inside the app.
  • One person per account. Do not share credentials, and do not create accounts by automated means or for someone else without their permission.
  • If you think your account has been accessed without your permission, tell us at [email protected] right away.

Acceptable use

Use Mydeas for taking notes and working with the people you choose. Do not:

  • Break the law, or store or share content that is illegal where you or we are.
  • Store or distribute malware, or content that infringes someone else’s copyright, trademark, privacy, or other rights.
  • Use public links, sharing, webhooks, or the API to spam, harass, phish, or deceive people, or to publish content you do not have the right to publish.
  • Probe, scan, overload, or interfere with the Service or with other users’ accounts; attempt to bypass plan limits, rate limits, or access controls; or access data that is not yours.
  • Use the Service as general-purpose file hosting, a content-delivery network, or a way to run large automated workloads through the AI features. Plan limits exist to keep the Service sustainable for everyone.
  • Resell the Service or offer it as your own without our written agreement.

We may remove content or suspend an account that violates this section. Where it is practical and lawful to do so, we will tell you what happened and give you a chance to export your data first.

Your content

You own your notes. Everything you put into Mydeas — notes, notebooks, tags, attachments, comments, tasks, imports — remains yours. We claim no ownership of it and no rights to use it beyond what is described here.

To run the Service, you grant us a limited, non-exclusive, worldwide license to store, copy, transmit, display, index, back up, and process your content solely for the purpose of providing the Service to you and the people you share with, and to maintain, secure, and improve the Service’s operation. This license exists only because a notes app cannot sync, search, share, export, or recover your data without it. It ends when you delete the content or your account, except for copies that may briefly remain in backups. We do not use your content to train machine-learning models, for advertising, or for any purpose unrelated to providing the Service.

You are responsible for your content: for having the rights to store and share it, and for what it contains. We do not review content before it is stored. We are not responsible for the content of notes or notebooks other people share with you.

You can export any note as Markdown or HTML, or your entire account as a ZIP with every note and attachment, at any time, on any plan. Export is never paywalled and never requires a request to us. See Export in the Privacy Policy.

Sharing and public links

Sharing a note or notebook with another Mydeas user gives them access at the permission level you choose, including the ability to edit and comment if you grant it. A public link makes the note — or, for a notebook link, every non-trashed note in that notebook, including notes you add later — viewable by anyone who has the link, with no sign-in. Public links are view-only, and revoking one stops it working immediately, but we cannot recall copies that someone has already made.

You are responsible for deciding what to share and with whom, for the content you make public, and for revoking access when it is no longer appropriate. Do not use a public link to publish content you do not have the right to publish. When you delete your account, shares you created and public links to your content are removed; comments you left on other people’s notes remain, attributed to a deleted user.

Plans and pricing

Mydeas has two plans. Every feature is available on both; the paid plan raises limits, it does not unlock features the free plan is missing.

  • Free — up to 500 notes (trashed notes do not count), 100 MB of storage (note content and attachments), 3 signed-in devices, and 1 AI action per day.
  • Paid — $6 per month or $50 per year (US dollars): unlimited notes and devices, 10 GB of storage, and 50 AI actions per day.
  • Both plans — each note’s content is capped at 1 MB, and individual attachments are capped by type (10 MB for images and PDFs, 25 MB for audio, 100 MB for video). AI action counts reset at midnight UTC.

These limits are enforced by our servers. When you reach one, the app tells you which limit and what you can do about it; nothing is silently dropped or hidden. On the free plan, signing in on a fourth device signs out the oldest session.

Our commitments on pricing and limits. Any change to free-plan limits, prices, or what a plan includes will be announced in advance, before it takes effect. Price changes never apply retroactively: a change to the paid price applies to your subscription only from your next renewal after we have given you notice, and you can cancel before then. Export is never paywalled, on either plan. The current plan details are always on the pricing page.

Billing, cancellation, and refunds

  • Paid subscriptions are billed through Stripe. You enter payment details on Stripe’s checkout page; we never see or store your card number. By subscribing you authorize Stripe to charge your payment method at the start of each billing period (monthly or yearly) until you cancel.
  • Prices are in US dollars and exclude any taxes that apply where you are, which may be added at checkout.
  • You can update your payment method, view invoices, or cancel at any time from the Stripe billing portal, reached from your account settings. Cancelling stops future charges; you keep paid limits until the end of the period you have already paid for, and then your account returns to the free plan.
  • If your account is over a free-plan limit when it returns to the free plan, nothing is deleted. You keep read and export access to everything, and you will need to get under the limit (or resubscribe) before adding more.
  • Refunds. Because you can cancel at any time and keep what you paid for through the end of the period, we do not offer refunds or credits for partial billing periods, unused time, or unused AI actions, except where the law where you live requires one. If we have made a billing mistake, or you believe your situation is exceptional, email [email protected] and we will look at it.
  • If a payment fails, Stripe will retry it. If it keeps failing, your subscription will end and your account will return to the free plan.
  • Deleting your account cancels any active subscription immediately. There is no refund for the remainder of the period.

AI features and OCR

AI actions (clean up, summarize, and edit) are optional and off by default. When you turn them on and run one, the text of that note is sent to a third-party AI provider (currently Anthropic) and a suggestion comes back for you to accept or discard. We never change a note automatically. Details of what is sent and when are in the Privacy Policy.

AI output is generated by a statistical model. It can be wrong, incomplete, misleading, or inappropriate, and it can change something you did not intend. It is provided as-is, with no promise of accuracy, and you are responsible for reviewing a suggestion before you accept it. Do not rely on AI output for medical, legal, financial, safety, or other consequential decisions without checking it yourself. AI features depend on a third party and may be rate-limited, changed, or unavailable at times; daily caps apply as described in Plans and pricing.

Images you attach are processed with optical character recognition (currently AWS Textract) so that text in them becomes searchable. Recognized text can contain errors and is offered for search convenience only.

API keys, webhooks, and integrations

  • API keys give full access to your account through the API. Treat them like passwords: keep them secret, use one key per application, and revoke a key the moment you suspect it has leaked. Anything done with a valid key is done under your account. Keys are shown once and cannot be recovered; you can always create a new one.
  • Webhooks send HTTP requests from our servers to a URL you register whenever the events you selected occur. You are responsible for the endpoint you register: that it is yours or you have permission to send to it, that it verifies our signature, and that it handles what it receives safely. Delivery is best-effort; we do not guarantee that every event arrives, arrives once, or arrives in order. We may disable a webhook that repeatedly fails or that we believe is being misused.
  • Slack and Google Calendar are optional integrations you connect with your own accounts on those services. Your use of them is also governed by Slack’s and Google’s terms. You can disconnect either at any time, which deletes the stored tokens. We are not responsible for changes those services make that affect the integration.
  • Fair use. The API and webhooks are for your own applications and workflows. Do not use them to get around plan limits, to scrape or bulk-copy content you do not own, or to generate load that degrades the Service for others. We may apply rate limits.

Ending the agreement

By you. You can stop using Mydeas at any time. Deleting your account from settings permanently deletes your notes, attachments, version history, shares, integrations, and account record, and cancels any subscription. This cannot be undone, so export first if you want a copy.

By us. We may suspend or terminate your account if you materially breach these Terms, if the law requires it, or if your use creates a security, legal, or operational risk to the Service or to other users. Except where we cannot, we will tell you why and give you a reasonable opportunity to export your data before it is deleted. We may also discontinue the Service as a whole; if we do, we will give at least 60 days’ notice and keep export working until the end.

Sections that by their nature should survive — your ownership of your content, the disclaimers, limitation of liability, indemnity, and governing law — survive termination.

Disclaimers

We work hard to keep Mydeas fast, reliable, and trustworthy, but it is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be uninterrupted, error-free, or secure, that defects will be fixed, that AI or OCR output will be accurate, or that data will never be lost. Please keep your own exports of anything you cannot afford to lose. Some jurisdictions do not allow certain warranty disclaimers, so some of this may not apply to you.

Limitation of liability

To the fullest extent permitted by law, Mydeas and the people who build and run it will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service, however caused and under any theory of liability, even if we have been told such damages are possible. Our total liability for all claims arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, and (b) fifty US dollars ($50). Some jurisdictions do not allow these limitations, so some of this may not apply to you; in that case our liability is limited to the smallest amount the law allows.

Indemnity

If a third party brings a claim against us because of content you stored or shared through the Service, or because you used the Service in violation of these Terms or the law, you agree to defend us against that claim and to cover the resulting damages, costs, and reasonable attorneys’ fees. We will let you know about any such claim promptly and cooperate with you in responding to it.

Governing law

These Terms are governed by the laws of the State of Wisconsin and the federal laws of the United States, without regard to conflict-of-laws rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Wisconsin, and you and we each consent to their jurisdiction. If you are a consumer in a jurisdiction whose law gives you mandatory protections or the right to bring claims in your local courts, nothing here takes those away. Before starting any formal proceeding, please email us; most problems can be sorted out in a couple of messages.

Changes to these terms

We may update these Terms as the Service changes. When we do, we will update the “Last updated” date at the top. For changes that materially affect your rights or obligations — including any change to plan limits or pricing — we will give you notice in the app before the change takes effect, and the change will not apply retroactively. Continuing to use the Service after a change takes effect means you accept it; if you do not, export your data and delete your account before then.

General

  • These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier agreement.
  • If any part of these Terms is found unenforceable, the rest stays in effect and the unenforceable part is replaced by the closest enforceable term.
  • If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • You may not transfer this agreement to anyone else. We may transfer it as part of a merger, acquisition, or sale of the Service, and if we do we will let you know, the Privacy Policy will continue to apply to your data, and you will be able to export and leave before the transfer takes effect.
  • Neither of us is responsible for delays or failures caused by events outside our reasonable control.
